Terms of Service
Last updated 1 October 2026
The rules for using FlockTab, in plain language where we could. The short version: you keep your relationship and your bills with your model providers, a tab is a control you set rather than a guarantee of what they charge, you own your data, and we never take a cut of your spend. FlockTab is software that can have bugs and runs partly on machines we cannot see, so it comes with no guarantee that it will work or stop what you expect, and our liability is limited.
1.The agreement
These Terms of Service ("Terms") are an agreement between you and Hanamori Labs LLC, a Delaware limited liability company ("Hanamori Labs", "we", "us"), for the use of FlockTab: flocktab.com, the console, the hosted proxy, the tab command-line tool, the self-hosted proxy and our APIs (the "Service"). Our Privacy Policy explains how we handle personal data and forms part of these Terms.
By creating an account, or by using the Service, you accept these Terms. If you use the Service for an organisation, you accept them for that organisation and confirm you have authority to do so; "you" then means the organisation.
2.What FlockTab is, and what it is not
FlockTab gives each AI agent a tab: a spending cap, policies and a kill switch, checked before a call reaches the model provider and recorded after it. We are not a model provider, do not resell model access and do not take a cut of what you spend with providers.
Caps are a control, not a guarantee of your provider bill. We hold each call's estimated cost against the tab before it runs and settle it at the usage the provider reports. Your provider bills you directly under its own terms, and its invoice can differ from our ledger: estimates can be lower than actual cost, calls already in flight when a tab closes may complete, providers may bill for usage we cannot see (for example traffic that does not go through FlockTab, or charges they apply after the fact), and subscription use is recorded at list price for information only. You remain responsible for every charge from your providers and for setting caps and policies that fit your risk.
Features that judge your agents' actions, such as Agent Guard and loop watch, use rules and an AI model and can be wrong in either direction: they may miss a harmful action or stop a harmless one. They help you supervise your agents; they do not replace your own review of what your agents are allowed to do.
3.Accounts and security
- You must be at least 18 and able to form a binding contract, and not barred from using the Service under the laws that apply to you.
- Keep your account details accurate. You are responsible for everything done through your account and your flock, including by members you invite.
- Keep your sign-in, passkeys, two-factor devices, virtual keys (ft_live_ and ft_test_) and unlock secret safe. Anyone holding a virtual key can spend against its tab until you revoke the key or close the tab. Tell us at once at hello@flocktab.com if you think your account or a key has been compromised.
- We may refuse, suspend or revoke a key or session to protect you, other customers or the Service.
4.Your providers, keys and subscriptions
- You keep your own relationship with each model provider (for example Anthropic, OpenAI, xAI, Google or Moonshot) and with any vendor you connect for outside spend. You are responsible for complying with their terms, usage policies and pricing, and for making sure your users do too.
- When you store a provider key with us for the hosted proxy, you authorise us to use it only to send your agents' calls to that provider. When you self-host, your keys stay on your machine.
- When a subscription Agent uses your own login (such as Claude Max, ChatGPT, SuperGrok or Kimi), FlockTab passes your calls through to that vendor under your account. You are responsible for making sure that use is allowed under your plan and the vendor's terms. The vendor may limit, suspend or close your account; we are not responsible for its decisions.
- Providers can change or withdraw models, prices and limits at any time. We may stop supporting a provider or model, with notice where we reasonably can.
5.Software on your machines
The tab command-line tool and the self-hosted proxy run on computers, networks and accounts that you control and we do not. We cannot see, access or inspect your machines, so we cannot know what happens on them or why something did not work there.
- You are solely responsible for your devices, operating systems, networks, firewalls and security software, the agent harnesses you run (such as Claude Code, Codex, Grok Build or Kimi Code), their versions and settings, and any other software they interact with.
- To connect a harness, tab changes its settings on your machine (for example its base URL, headers, status line or hooks). It adds to your settings rather than replacing them and keeps a backup before it writes, but you are responsible for keeping your own backups of your files, projects and configuration, and for reviewing changes before you rely on them.
- Harness and provider vendors change their software, protocols and limits without telling us. An update on their side, on your machine or in your network can stop tab or the self-hosted proxy from working, or change what it records, until we release a fix, if we can.
- Install updates to tab and the self-hosted proxy when they are released. We support only the current version.
- We are not responsible for any failure, loss or damage caused by your environment, your configuration, third-party software or services, changes made by their vendors, or use of the software other than as documented.
6.Previews, betas and free use
Some features are marked preview, beta or early access, or are offered free or on a trial (including the Solo plan). They are provided as they are, without any warranty, service level or support commitment, may change or stop at any time without notice, and are not meant to be relied on for production or critical use. To the fullest extent the law allows, we have no liability for them.
7.Your data
You own your data. "Customer Data" is what you and your agents put into the Service: configuration, keys, the metadata of your agents' calls, and, where it passes through the hosted proxy, the content of prompts and replies. You give us a limited licence to host, process and transmit Customer Data only to provide, secure and support the Service, as described in the Privacy Policy.
- We do not store the content of prompts or replies, sell Customer Data, or use it to train AI models.
- You are responsible for having the rights and permissions to send Customer Data through the Service, including any personal data it contains.
- We may use aggregated, de-identified information about how the Service is used (for example how many calls are refused) to operate and improve it, provided it does not identify you or your users.
- If you need a data processing agreement for personal data we process for you, email hello@flocktab.com.
8.Acceptable use
You must not, and must not let anyone else:
- use the Service in breach of law, or of a provider's or vendor's terms or usage policies;
- use the Service to create, send or store malware, child sexual abuse material, or content that infringes others' rights;
- get around caps, policies, rate limits or the kill switch, or use the Service to disguise who is making a call or where it comes from, including to reach models that are not available to you;
- probe, scan or test the security of the Service without our written permission (report issues to hello@flocktab.com instead);
- interfere with or overload the Service, or access it by means other than the interfaces we provide;
- resell or offer the Service to third parties as your own service without our written agreement, or copy it to build a competing product;
- reverse engineer the Service, except where the law allows it despite this restriction.
We may suspend any key, agent or account that we reasonably believe breaks these rules or puts the Service or others at risk, and will tell you why where we can.
9.Plans, fees and billing
- Solo is free, within its limits. Team and Fleet are paid subscriptions at the prices on our pricing page when you subscribe, plus any extra Agents or members you add. You pay your model providers directly; our fees never include model usage.
- Paid plans are billed in advance, monthly or yearly, through Stripe, and renew automatically for the same period until cancelled. Extra Agents and members are billed as you add them, prorated where Stripe prorates.
- A free trial, where offered, becomes a paid subscription at its end unless you cancel before then.
- You can cancel at any time from the Plan page or the billing portal. Cancellation takes effect at the end of the paid period; we do not refund partial periods, except where the law requires it or we say otherwise in writing. Closing your flock is different: it cancels the subscription at once, and the rest of the paid period is not refunded.
- Prices exclude taxes. You are responsible for any sales, use, value-added or similar taxes, other than taxes on our income.
- If a payment fails, we may move your flock to the free plan or suspend paid features after telling you. We will give at least 30 days' notice before a price change applies to your subscription; if you do not agree, you can cancel before it takes effect.
- Referral credits. When a new flock signs up from your flock's public leaderboard page and pays its first invoice, we add a $19 credit to your FlockTab account, applied to your next invoices, up to three a calendar month. The new flock must be someone else's, with a verified email and its own payment card. Credits have no cash value, cannot be transferred and end if your account closes. We may withhold or reverse credits we believe were earned by abuse, and change or end the programme; credits already given stay.
10.Our property and your feedback
We and our licensors own the Service, including the software, the tab CLI and self-hosted proxy, and the FlockTab and Hanamori Labs names and marks. We give you a limited, non-exclusive, non-transferable right to use the Service, and to install and run the tab CLI and self-hosted proxy, for your internal business purposes while these Terms are in force. Open-source components are licensed under their own terms.
If you send us feedback or suggestions, we may use them without any obligation to you.
11.Confidentiality
Each of us will keep the other's non-public information that is marked or reasonably understood as confidential (including your Customer Data and our non-public product and security information) confidential, use it only for this agreement, and protect it with at least reasonable care. This does not cover information that is or becomes public through no fault of the recipient, was already known to it, is independently developed, or must be disclosed by law (with notice to the other party where allowed).
12.Third-party services
The Service works with services we do not control: model providers, vendors you connect, identity providers, Stripe and others. Your use of them is governed by their terms. We are not responsible for their availability, accuracy, security or conduct, or for changes they make.
13.Suspension, termination and your data afterwards
- You can stop using the Service at any time and close your flock from the console.
- We may suspend or end your access if you materially break these Terms and do not fix the breach within 10 days of our notice, immediately if the breach puts the Service, other customers or third parties at risk or is unlawful, or if we must by law. We may also end the Service for everyone with at least 60 days' notice, and will refund any prepaid fees for the period after it ends.
- Before you close a flock you can export your ledger and attribution data as CSV. When a flock is closed, its data is deleted as described in the Privacy Policy.
- Sections that by their nature should survive the end of these Terms do, including those on fees owed, your data, confidentiality, disclaimers, liability, indemnities and disputes.
14.Disclaimers
THE SERVICE, INCLUDING THE TAB CLI AND THE SELF-HOSTED PROXY, IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS. YOU USE IT AT YOUR OWN RISK. TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY AND QUIET ENJOYMENT, AND ANY ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE.
IN PARTICULAR, WE DO NOT WARRANT THAT THE SERVICE WILL BE AVAILABLE, UNINTERRUPTED, TIMELY, SECURE OR FREE OF BUGS OR ERRORS; THAT A CAP, POLICY, KILL SWITCH, CLOSE OR PAUSE WILL TAKE EFFECT, OR TAKE EFFECT IN TIME, TO STOP ANY CALL, CHARGE OR ACTION; THAT THE LEDGER, ESTIMATES, USAGE, QUOTA OR ATTRIBUTION FIGURES WILL BE COMPLETE OR CORRECT OR MATCH ANY PROVIDER'S OR VENDOR'S RECORDS; THAT AI JUDGMENTS (SUCH AS JEV'S GUARD AND LOOP WATCH) WILL BE RIGHT; OR THAT THE SERVICE WILL WORK WITH ANY PARTICULAR HARNESS, PROVIDER, OPERATING SYSTEM OR VERSION. THE SERVICE IS DESIGNED TO FAIL CLOSED: WHEN IT CANNOT REACH ITS LEDGER, OR SOMETHING FAILS, IT REFUSES CALLS, WHICH CAN STOP YOUR AGENTS IN THE MIDDLE OF THEIR WORK.
FlockTab is one safeguard among the ones you should have. Keep your own limits with each provider (such as their spending limits and alerts), monitor your provider dashboards and bills, supervise your agents, and do not rely on FlockTab as your only protection against spending, loss or harm. We offer no service level or uptime commitment unless we sign one with you.
If the Service does not work as described, your only remedy, and our only obligation, is for us to use reasonable efforts to fix it; if we cannot within a reasonable time, you may cancel and we will refund the fees you prepaid for the period after cancellation.
15.Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS, AND WHATEVER THE LEGAL THEORY (CONTRACT, TORT INCLUDING NEGLIGENCE, STRICT LIABILITY OR ANY OTHER):
- (A) WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, SAVINGS, BUSINESS, DATA, WORK OR GOODWILL, OR THE COST OF SUBSTITUTE SERVICES, EVEN IF WE WERE TOLD THEY WERE POSSIBLE;
- (B) WE ARE NOT LIABLE FOR CHARGES BY MODEL PROVIDERS, VENDORS OR OTHER THIRD PARTIES, INCLUDING CHARGES A CAP, POLICY OR KILL SWITCH DID NOT STOP; FOR ACTIONS YOUR AGENTS TAKE OR FAIL TO TAKE; FOR AGENTS OR WORK STOPPED BY THE SERVICE; FOR DECISIONS OR ACTIONS BY A PROVIDER OR VENDOR ABOUT YOUR ACCOUNT; OR FOR LOSS OF OR DAMAGE TO YOUR FILES, CONFIGURATION, DEVICES OR SYSTEMS;
- (C) OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, TOGETHER, IS LIMITED TO THE GREATER OF THE FEES YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE FIRST CLAIM AND US$100. MORE THAN ONE CLAIM DOES NOT ENLARGE THIS LIMIT.
These limits apply even if a remedy fails of its essential purpose, and they are a basis of the bargain between us: without them we could not offer the Service at its prices. They do not limit your obligation to pay fees, your indemnity obligations, or liability that the law does not allow to be limited, such as for our fraud or wilful misconduct.
16.Indemnities
You will defend us against claims by third parties arising from your Customer Data, your agents' actions, your use of providers or vendors, or your breach of these Terms or the law, and pay the resulting damages, costs and reasonable legal fees.
We will defend you against third-party claims that the Service, as we provide it, infringes their intellectual property rights, and pay the resulting damages and costs. This does not cover claims caused by your Customer Data, by combining the Service with things we did not provide, or by modifications we did not make. If such a claim arises, we may modify the Service, get you the right to keep using it, or end it and refund prepaid fees for the unused period. This paragraph is your only remedy for such claims, and our obligations under it are subject to the limit in Limitation of liability.
The party seeking defence must tell the other promptly, give it control of the defence and settlement (no settlement may impose obligations on the defended party without its consent), and cooperate reasonably.
17.Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The UN Convention on Contracts for the International Sale of Goods does not apply.
Before starting any proceeding, contact us at hello@flocktab.com and give us 30 days to try to resolve the dispute informally.
Arbitration. Any dispute that is not resolved informally will be settled by final and binding arbitration before a single arbitrator administered by JAMS under its Streamlined Arbitration Rules, seated in Wilmington, Delaware (hearings may be held by video), under the Federal Arbitration Act. Judgment on the award may be entered in any competent court. For claims of US$10,000 or less, we will reimburse your filing fees unless the arbitrator finds the claim frivolous. Either party may instead bring an individual claim in small claims court, or ask a court for urgent injunctive relief or to protect its intellectual property.
No class actions and no jury. Claims may be brought only individually, not as a plaintiff or member in any class, collective or representative proceeding, and the arbitrator may not consolidate claims or award class-wide relief. Each party waives any right to a jury trial. If this class-action waiver is found unenforceable for a claim, that claim will be heard only in the state or federal courts located in Delaware, and each party consents to their jurisdiction.
Opting out. You can opt out of arbitration by emailing hello@flocktab.com, with the subject "Arbitration opt-out", within 30 days of first accepting these Terms. Disputes are then heard only in the state or federal courts located in Delaware, and the class-action and jury waivers still apply.
Any claim arising out of or relating to the Service or these Terms must be brought within one year after it arose, or it is permanently barred, to the extent the law allows.
If you are a consumer in a country whose laws give you rights that cannot be waived, including the right to bring claims in your local courts, nothing in these Terms takes those rights away.
18.Changes to the Service and these Terms
We improve the Service continually and may add, change or remove features. We will not make a change that materially reduces the core functionality of a paid plan during your current subscription period.
We may update these Terms. For material changes we will give account holders at least 30 days' notice by email or in the console. Continuing to use the Service after a change takes effect means you accept it; if you do not, you can stop using the Service and cancel before then.
19.General
- These Terms, the Privacy Policy and any order or agreement we sign with you are the entire agreement about the Service. If they conflict, a signed agreement wins, then these Terms.
- You may not assign these Terms without our consent; we may assign them to an affiliate or in a merger, acquisition or sale of assets.
- Neither party is liable for delays or failures caused by events beyond its reasonable control, such as outages of providers or networks, provided it tries to limit them.
- You must comply with export control and sanctions laws, and may not use the Service in, or for anyone in, a sanctioned country or on a restricted-party list.
- If a provision is unenforceable, the rest remains in force. Not enforcing a provision is not a waiver of it.
- We may send notices by email to your account address or in the console; you can send notices to hello@flocktab.com. Notices by email are effective when sent.
- Nothing in these Terms creates a partnership, agency or employment relationship, and there are no third-party beneficiaries.
